What happens after you commit to a venture fund, how much notice you get, and how to keep the uncalled money ready.

The most common surprise for a first-time LP is not the fees or the ten-year lock. It is the capital call: the email, eight months after you signed, saying the fund needs twelve percent of your commitment by Thursday.

What a capital call is

When you sign a subscription agreement you commit a total amount. The fund does not take it all at once. It calls capital as it needs it, to make investments and pay expenses. Each call is a fraction of your commitment, and the notice usually gives you ten to thirty days to wire.

How often they come

Most funds call the majority of capital during the first three to four years, in anywhere from four to twelve installments. Early calls tend to be larger and closer together because that is when most new investments happen. Later calls are smaller and fund follow-on investments in existing companies.

What happens if you miss one

The limited partnership agreement treats a missed call seriously. Consequences can include interest, loss of a portion of your interest in the fund, or forced sale of your stake. Funds rarely want to enforce these, but they can. The practical rule is simple: keep the uncalled portion of your commitment somewhere you can reach on short notice, and do not think of it as spendable.

How to plan for it

  • Keep uncalled capital in a money market fund or short-term treasuries, not in stocks you would have to sell at a bad time.
  • Assume calls will be lumpier than the GP’s estimate.
  • Set up the wire template with your bank once so each call is a five-minute task.
  • Track every call in a single spreadsheet alongside distributions. Your future accountant will thank you.

Recycling and the total

Some funds recycle early proceeds back into new investments, which means they may call slightly more than your commitment over time, within limits the LPA sets. Ask the GP whether the fund recycles and by how much. It changes both the pace of calls and when cash starts coming back to you.
